1. Acceptance of Terms
By creating an account or using Bridge by Rizolvr (“the Service”) you agree to be bound by these Terms of Service and our
Privacy Policy (collectively, the “Agreement”). Bridge is a product of Rizolvr LLC, a Wyoming limited liability company. If you do not agree to this Agreement, you may not use the Service.
2. Service Description
Bridge is a hosted Model Context Protocol (MCP) server that connects your point-of-sale data to AI assistants you already use (such as Claude, ChatGPT, or Gemini). On the Standard and Premium tiers the Service is read-only: it queries data from your POS on your behalf and does not write back. On the Pro tier the Service can also write to your POS, but only where you have authorized it in Lightspeed and granted the corresponding permission to a specific seat. You bring your own AI; we do not run a large language model. Section 6 governs write-enabled use.
3. Account Responsibilities
You agree to:
- Provide accurate, current, and complete information during signup.
- Maintain the security of your Bridge access credentials, including any MCP tokens we issue you.
- Treat MCP tokens like API keys — do not paste them into untrusted AI clients or share them publicly. If a token is compromised, contact support and we will revoke it.
- Accept responsibility for all activity under your account, including queries made by AI assistants you have authorized.
- Use the Service only for lawful business purposes.
- Where you enable write access, determine which of your personnel receive which write permissions, and supervise the changes made under them.
4. Lightspeed POS Data Access
Bridge connects to your Lightspeed POS via OAuth 2.0. On Standard and Premium, Bridge requests Lightspeed's view-only permission for every category of data where Lightspeed publishes one. For a small number of categories Lightspeed publishes no view-only option, and the permission granted for those is broader than the use Bridge makes of it. On every tier your AI assistant can see Bridge's write tools and ask for a preview of what a change would do, but on Standard and Premium Bridge refuses to apply any change: applying a change requires the Pro tier and a seat you have authorized for that kind of change. On Pro, Bridge additionally requests the write permissions you approve at that time. We sync data including but not limited to customers, items, sales, work orders, and reference data (categories, manufacturers, vendors, tags, employees). This data is used solely to answer queries you initiate via your AI client. You may revoke Bridge's access through your Lightspeed account settings at any time.
5. AI Assistant Tool Access
Bridge exposes a set of tools (e.g., “find_customer”, “query_sales”) that your AI assistant calls when answering your questions. On Standard and Premium these tools only read. On Pro, tools that modify data in Lightspeed are additionally available to seats you have granted the corresponding permission. You acknowledge that:
- The AI assistant is a third party you have separately contracted with. Its terms and privacy policy apply to your conversations with it.
- When you ask your AI a question that requires Bridge data, the AI will send tool requests to Bridge containing the parameters needed to answer (e.g., a customer name, date range). Bridge never sends data to the AI without an authenticated tool request.
- Tool results are returned to your AI client over an encrypted MCP connection. The AI then synthesizes a natural-language answer for you. Rizolvr does not control how the AI client uses or stores those results.
- You are responsible for what AI assistants you authorize and for any data exposure that results from your choice of AI provider.
Applies to the Pro tier only
6. Additional terms for Pro (write access)
This section applies to write-enabled use of the Service on the Pro tier. By accepting these Terms you accept it now, so that if you choose Pro, at signup or later, no separate acceptance is needed.
6.1 Write access is opt-in and granular. Write functionality is available only on the Pro tier, only after you complete a separate Lightspeed re-authorization, and only for the individual seats to which you grant it. Write permissions are divided into distinct scopes (for example: item pricing, item creation, tag management, purchase orders, work orders). A seat can exercise only the scopes you have assigned to it. You may revoke any scope at any time.
6.2 Changes made through Bridge are your changes. When an AI assistant authorized by you, operating under a seat you have granted write permissions, makes a change to your point-of-sale records, that change is made at your direction and on your behalf. You are responsible for it as you would be for a change made by your personnel directly in Lightspeed. Rizolvr does not review, approve, or independently validate the substance of changes before they are made.
6.3 Records of changes. Bridge records each change with the seat that initiated it, the tool used, the time, and the state of the affected record before and after. Bridge also writes a dated note into the corresponding record in your own Lightspeed account, so that the change is visible to your personnel within your point-of-sale system.
6.4 Reversal is available for some operations and not others. Bridge provides a facility to reverse certain changes by submitting a compensating change to Lightspeed. This facility is not available for all operations. In particular, the creation of new records — including customers, vendors, categories, departments, purchase orders, and manufacturers — cannot be reversed through Bridge, and such records must be removed within Lightspeed directly. Rizolvr does not warrant that any given change can be reversed, or that a reversal will succeed. Where reversal is unavailable or unsuccessful, correction within your point-of-sale system remains your responsibility.
6.5 Verify what matters. AI assistants can misinterpret instructions. You are responsible for reviewing changes made on your behalf, particularly changes affecting pricing, costs, inventory quantities, or customer records. Section 10's limitations apply to write operations as they do to all other use of the Service.
7. Per-Tenant Data Isolation
Each Bridge customer's synced data is stored in a dedicated logical database within our infrastructure, accessible only by a credential scoped to that customer. Data does not cross tenant boundaries. Tools cannot query, aggregate, or expose data from other customers.
8. Billing & Payments
Bridge operates on a monthly subscription processed by Stripe. Key billing terms:
- Bridge is offered on tiered monthly subscriptions priced per selling location, with optional per-seat add-ons. Current prices are published at rizolvr.com/pricing and are incorporated into this Agreement by reference. Prices may change with at least 30 days' prior written notice.
- Free trial. New accounts on the Standard tier get a 30-day free trial. We may also give you a trial code that starts a 30-day free trial on any tier. Free trials are for new accounts only: an account, Lightspeed account, or email that has had a Bridge subscription before does not get another one, and if we find an earlier subscription when you connect Lightspeed, the trial ends and billing starts that day. A card is required to start a trial and is charged when the trial ends unless you cancel before then; if you cancel during the trial you are not charged.
- Upgrades. Upgrading to a higher tier takes effect immediately and is charged that day: the prorated difference for the rest of the billing period, or, during a free trial, the new tier's first month (an upgrade ends the trial).
- No refunds. Subscription fees are non-refundable, and we do not refund or credit partial billing periods. Cancelling stops the next renewal — your service runs through the end of the period you have paid for.
- You may cancel anytime via your account portal or by emailing bridge@rizolvr.com.
- Past-due payments. If a payment fails, on any tier, the Service keeps working for 48 hours. If the invoice is still unpaid after 48 hours, the Service stops for your whole account — your AI assistants can no longer read or change your data through Bridge, and syncing pauses — until the invoice is paid. Your data is not deleted, and access returns automatically as soon as the payment goes through. We notify the account owner and the other users on the account when a payment fails, about 24 hours before the Service stops, when it stops, and when it is restored.
- Changing tiers may require re-authorization with Lightspeed. Downgrading from a write-enabled tier removes write access for all seats.
9. Intellectual Property
All Bridge software, branding, documentation, and intellectual property are owned by Rizolvr LLC. You retain full ownership of your business data. By using the Service, you grant Rizolvr LLC a limited, non-exclusive license to process your data solely to provide the Service.
10. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. RIZOLVR LLC SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages.
- Lightspeed API downtime, errors, or changes beyond our control.
- The accuracy of answers produced by your AI assistant. Bridge returns the data; the AI synthesizes the answer.
- Loss of data resulting from circumstances beyond our reasonable control.
- The substance or consequences of changes made to your point-of-sale records at your direction through write-enabled use, including changes initiated by an AI assistant you authorized.
- The unavailability or failure of any reversal of such a change.
Our maximum aggregate liability to you for any claims arising from or related to the Service shall not exceed the total fees you paid to Rizolvr LLC in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Rizolvr LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, including the conduct of any AI assistants you authorize to query Bridge, or to make changes through Bridge, on your behalf.
12. Termination & Cancellation
Either party may terminate this Agreement at any time. Upon termination or non-renewal:
- Your access to the Service is suspended at the end of the current billing period.
- For sixty (60) days after suspension, your synced data is retained in case you reactivate. You may request a one-time export of your data during this window via support.
- After the 60-day grace period, your tenant database, your stored credentials, and your Lightspeed authorization are permanently deleted.
- Any outstanding fees remain due and payable.
We reserve the right to suspend or terminate accounts that violate these Terms without prior notice. We may also activate an emergency token kill-switch on your tenant if a credential is suspected of being compromised; we will notify you when this occurs.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will email the account owner, at the address on the account, a summary of the changes and a link to the updated Terms, and we will update the version number and effective date shown at the top of the Terms. You will not be asked to accept the updated Terms again: continuing to use the Service after we send that notice means you accept them. If you do not accept them, you may cancel under Section 12.
14. Governing Law & Disputes
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming. Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.
